Terms of service

By creating an account with LOOP Juices Inc.  (“LOOP”, "us" or "we") through loopmission.com, you agree to be bound by the terms of this contract (the "Terms"). 

Eligibility

By using the Website, you represent and warrant that you (a) are 18 years of age or older, (b) have full power and authority to enter into the present Conditions of Use and in so doing will not violate any other agreement to which you are a party.

Access and use of the site

LOOP grants you a limited, non-exclusive access to use the Site and to download the Site content solely for your personal, non-commercial use and provided that you do not delete or modify any copyright or other proprietary notice. Any other copying, use, distribution, transmission or modification of the Site’s content, including, without limitation, collection or use of product descriptions or prices, use of data mining or similar tools or framing of any Site content is subject to LOOP’s prior written consent.

You agree not to use the Site in any manner that would (a) adversely affect the Site’s resources or the availability of the Site to others; (b) compromise the system integrity or security (c) violate any local, provincial, national or international law; or (d) delete or modify any content on the Site.

We may, without prior notice, change the Service, stop providing the Service or features of the Service (to you or generally), or create usage limits for the Service. We may permanently or temporarily terminate or suspend your access to the Service without notice or liability to LOOP, for any reason or for no reason, including if in our sole determination you violate any provision of this Agreement. Upon termination of this Agreement or your access to the Service for any reason or no reason, you will continue to be bound by the terms of this Agreement which, by their nature, should survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may be required to create an Account at loopmission.com in order to gain access to additional functionality provided within the Service that we may establish and maintain from time to time and in our sole discretion. By creating an account, you agree to (i) provide accurate, current and complete account information, (ii) maintain and update sporadically as necessary your account information, (iii) keep your password secure and accept all risks of unauthorized access to your account including all information you provide to us, (iv) immediately notify us of any breach of security or unauthorized use of your Account and (v) never use another User's Account without permission. LOOP will not be liable for any losses caused by any unauthorized use of your Account.

Privacy policy

We collect personal information from our customers in the regular course of doing business.

We collect the following personal information about you:

• Information about your computer, including your IP address, the type of operating system and browser you use,

• What pages you visit on our site and what links you click on

Copyright and Trademarks

You may not use our trademarks (including the LOOP logo) or copyrights (including all contents of this site), or represent yourself as an affiliate of LOOP, without prior authorization.

This site may contain links to other websites operated by third parties. These links are provided as a convenience to you and as an additional avenue of access to the information contained therein. We have not necessarily reviewed all the information on those other sites and are not responsible for the content of other sites, or the products or services that may be offered through other sites. Inclusion of links to other sites should not be viewed as an endorsement of the content of linked sites.

Security

LOOP cares about the integrity and security of your personal information. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.

Terms of sale

The services may eventually be offered by way of a subscription (the “Subscription”). If such is the case, when you register for a Subscription, you agree that: (1) LOOP (or a third party payment processor authorized by us) is authorized to charge you credit card for your Subscription, and that we are authorized to charge you until such time that your Subscription is cancelled, (2) should you wish to “skip” a week or cancel your subscription, you must provide us notice on Tuesday before 11:59pm if your delivery is scheduled on Thursday, Friday or Saturday, otherwise you will receive the Service as scheduled, (3) the amount you will be charged per week may change if you modify your plan selection, benefit from a Special Offer or the application of Credits, or if there are changes to applicable taxes or other charges, and (4) to receive promotional information regarding the Service.

All prices are shown in Canadian dollars (and are exclusive of applicable taxes).

We accept no liability to complete any transaction which cannot be cleared by our payment processor, whether because there are no sufficient funds available on your credit card or otherwise. If such a situation would occur, you will receive an error message and the transaction will be denied. Moreover, we may suspend your LOOP account and contact you so you can provide us with valid alternative credit card information. Such suspension shall not relieve you from your obligation to pay any fees owed to us.

Please consult your LOOP account for more information on the pricing and features of our different packages. You acknowledge being bound by the terms and conditions of the package you have selected.

Payment and billing information

All information that you provide in connection with a purchase or transaction or other monetary transaction interaction with the Service must be accurate, complete, and current. You agree to pay all charges incurred by users of your credit card, debit card, or other payment method used in connection with a purchase or transaction or other monetary transaction interaction with the Service at the prices in effect when such charges are incurred. You will pay any applicable taxes, if any, relating to any such purchases, transactions or other monetary transaction interactions.

If the payment method cannot be verified, is invalid or is otherwise not acceptable, your order may be suspended or cancelled. You must resolve any problem we encounter in order to proceed with your order. In the event you want to change or update payment information associated with your LOOP account, you can do so at any time by logging into your account and editing your payment information.

Delivery

We do not currently deliver juices to every region in Canada. If you cannot find your location in the zones where we currently deliver or when you enter your postal code in the appropriate section, sign up for our newsletter to be notified when deliveries will begin in your area.

We generally uses third party services for shipping and therefore all Products purchased are made pursuant to a shipment contract whereby the title to and the risk of loss of such products passes to you upon delivery of the products to you. Following the delivery, the condition and consumption of the Products are at your own risk, and you are solely responsible for the proper and safe storage, use and consumption of the Products. LOOP is not responsible or liable for any action(s) or inaction(s) of such third parties and/or its agents, and shall not be liable for any delay or loss of any kind, which occurs while a shipment is in custody or control of a third party.

Shipping times and dates are estimates and actuals may vary due to weather conditions and other factors, some of which may be outside of our control. If there are events beyond our control that interfere with our ability to deliver the Products to you on your scheduled delivery day, we will attempt to deliver your Products on the following day. In the event that we remain unable to deliver your Products on the day which follows your original scheduled delivery day, we will issue you a Credit for the purchase price of that delivery. You are responsible for the purchase price of the Products if we are unable to make your delivery at your confirmed address at the specified time due to reasons caused by you.

We consider the Products delivered when the third party courier service arrives, and surrenders custody of the Products in accordance with the delivery instructions you have specified in your LOOP account. We will presume that any individual present at the location specified in the delivery instructions is authorized to receive the delivery on your behalf. If there is no individual present at the location specified in the delivery instructions we will leave the package unattended at the address or location you have specified. You are responsible for insuring the clarity and completeness of the delivery instructions provided to us.

You are responsible for inspecting all Products you receive from us for any damage or other issues upon their delivery to you. You are solely responsible for determining the freshness of the Products you receive. Should the Products not be fresh upon their delivery to you, please let us know and we will handle the matter in accordance with our return policy.

Our boxes include insulated liners and iced gel packs that keep your ingredients cold and fresh for up to 24 hours after your delivery arrives. You are responsible for the Products as of the moment when the courier gives up custody of the Products in accordance with the instructions in your LOOP account. You are responsible for a Product degradation as a result of any events (including the passage of time) after the delivery of the Products. Please keep in mind the season and temperatures in your area at the time of delivery and plan deliveries and storage accordingly.

Upon reception and following inspection of any delivered Products, you must immediately refrigerate the Product and are responsible for following refrigeration recommendations.

Refunds

Unfortunately, due to the nature of our products (perishable goods and personal care goods (such as soaps), every purchase is final and we do not accept returns. We cannot accept returns on sale items or gift cards.

However, if you notice any issue or damage with your products, you can always contact us for a refund at hello@loopmission.com.

Damages and issues
Please inspect your order upon reception and contact us immediately if the item is defective, damaged or if you receive the wrong item, so that we can evaluate the issue and make it right.

Refunds
If your refund is approved, you’ll be automatically refunded on your original payment method. Please remember it can take some time for your bank or credit card company to process and post the refund too.

Indemnification

Except to the extent prohibited by applicable law, you agree to defend, indemnify, and hold LOOP harmless, its officers, directors, affiliates, employees and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the loopmission.com Website as well as the LOOP account in relation therewith.

Disclaimer

WE DO NOT WARRANT OR REPRESENT THAT THE CONTENT OF THE WEBSITE IS ACCURATE, UP-TO-DATE OR COMPLETE. WE ARE PROVIDING THE WEBSITE AND ITS CONTENTS ON AN “AS IS” BASIS. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THE WEBSITE, ITS CONTENTS OR ANY OF THE PRODUCTS OR SERVICES SUPPLIED THROUGH THE WEBSITE. WE DO NOT REPRESENT OR WARRANT  THAT THE WEBSITE, THE SERVER THAT MAKES IT AVAILABLE OR ANY OF OUR PRODUCTS OR SERVICES SUPPLIED THROUGH THIS WEBSITE WILL BE FREE OF ERRORS, VIRUSES OR DEFECTS. YOUR ACCESS AND USE OF THIS WEBSITE IS SUBJECT TO FACTORS BEYOND OUR CONTROL. WE DO NOT WARRANT THAT THE WEBSITE OR THE PRODUCTS AND SERVICES OFFERED VIA THIS WEBSITE WILL MEET YOUR REQUIREMENTS OR THAT THE SERVICE WILL BE UNINTERRUPTED OR TIMELY.

No waiver

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and LOOP’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

Assignment

You may not assign, convey, subcontract or delegate your rights, duties or obligations hereunder.

General provisions

The Conditions of Use shall be governed by and construed by the laws of the Province of Quebec, Canada and the laws of Canada applicable therein. Parties hereby irrevocably submit and attorn to the jurisdiction of the Courts of the district of Montreal, Province of Quebec.

The present Conditions of Use are the entire and exclusive agreement between LOOP and you regarding the use of the Website, and the present Conditions of Use supersede and replace any prior agreements between LOOP and you regarding the Website.

You shall not assign or otherwise transfer the present Conditions of Use or any of your rights or obligations hereunder to any third party without our prior written consent which consent is within our sole discretion. No assignment or delegation by you shall relieve or release you from any of its obligations under the present Conditions of Use. Subject to the foregoing, the present Conditions of Use shall be binding upon, inure to the benefit of, and be enforceable by each of the Parties and their respective successors and assigns. LOOP shall be allowed to assign the present Conditions of Use to any third party without requiring your consent.

Nothing in the present Conditions of Use shall constitute a partnership or joint venture between you and the Company.

If a particular provision of the present Conditions of Use is held to be invalid by a court of competent jurisdiction, the provision shall be deemed severed from the present Conditions of Use and shall not affect the validity of the present Conditions of Use as a whole.

The Parties have expressly requested that the present Conditions of Use be drawn up in English and that all modifications thereof can be made in this language.

Commenting policy

We encourage you to share your thoughts on our website, on our Facebook pages and through other online community spaces. We welcome your contribution but expect it to be generally courteous. To that end, we reserve the right to remove content that:

• contains obscene, indecent, or profane language
• contains threats or defamatory statements
• contains hate speech
• promotes or endorses services or products. (Note that non-commercial links that are relevant to the topic or another comment are acceptable.)
• Do not submit copyrighted or other proprietary material in any form unless you clearly indicate that you have permission to do so.  By posting your comments or other content, you grant LOOP irrevocable permission to copy, distribute, make derivatives or display that content free-of-charge.

We reserve the right to amend these policies at any time and we will notify users of significant changes to our policies by posting a notice on our website or contacting you. You are responsible for reviewing the amendments and continued use of the services or access of this website after the amendments have been posted constitutes your acceptance of the amended policies.
